Vista Lead Generation by Videorize LLC provides a variety of related offerings and services. The product offerings and related services, including applicable mobile applications, are referred to in these Terms and Conditions of Use as the “Products.” Vista Lead Generation’s Products may not be used for sending unsolicited email in violation of applicable law or for transmitting illegal or prohibited content.
Proprietary Rights
Licensee recognizes that Vista Lead Generation by Videorize LLC regards the licensed programs as proprietary information and confidential trade secrets. Licensee agrees not to provide or otherwise make available the licensed programs, or any portion thereof, to persons other than authorized employees without prior written consent.
Term
The Licensee agrees to subscribe to the selected services for the term stated in its agreement at the applicable subscription rate. Renewal, notice, and any permitted pricing adjustments are governed by the executed customer agreement.
Termination
Termination rights and notice requirements are governed by the executed customer agreement.
Maintenance Support
Vista Lead Generation by Videorize LLC will provide support for the software in accordance with the applicable customer agreement, including commercially reasonable efforts to verify and correct substantial program errors reported during covered support periods.
Warranty Disclaimer
The licensed programs are provided subject to the warranty terms in the applicable agreement. Except as expressly stated there, Vista Lead Generation by Videorize LLC disclaims implied warranties to the fullest extent permitted by law.
Limitation of Liability
Liability is limited as provided in the applicable agreement. Neither party will be liable for indirect, incidental, special, or consequential damages except to the extent otherwise required by law or expressly agreed in writing.
Successors
The agreement binds and benefits the parties and their respective representatives, successors, and permitted assigns, subject to its assignment provisions.
Updates
While an applicable agreement is in effect, software updates and upgrades will be provided in accordance with that agreement.
